On Members and Voting
Overview
Certain operations and programs at The Ikoku Foundations have as part of their purposes the aim to enhance engagement and participation in communities, publics, and societies. So it is important to make clear the place, role and scope of membership, voting, and decision-making as they pertain to the corporations, their assets and properties, and their management and operation.
Therefore, persons engaged in any activity involving, referring to, relating to, or otherwise pertaining to The Ikoku Foundations are expected to uphold the following:
Private Status
— that The Ikoku Foundations be private in status, including with respect to trusts, corpo-rate and organizational form and formation, administration, management, and operation.
On Members
— that The Ikoku Foundations have no Members.
On Voting
— that The Ikoku Foundations have no Trustees or Directors except persons formally ap-pointed or elected and also approved by express written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, the Founder, as described in pertinent governance documents.
— that The Ikoku Foundations provide no voting powers to any person or entity other than those accorded by express written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, the Founder, and only to Trustees or Directors appointed as described above.
— that such above powers be only those delineated and restricted by pertinent corporation Articles and Certificates of Formation, Operating Agreements and ByLaws signed and sealed by Alvan Azinna Chibuzo Ikoku, the Founder and President.
On Decision-Making
— that The Ikoku Foundations provide no decision-making powers to any person or entity other than those accorded via express written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, the Founder and President, and only to Trustees or Directors appointed as described above.
— that such above powers be only those delineated and restricted by pertinent Declaration of Trust, Articles of Incorporation and ByLaws signed and sealed by Alvan Azinna Chibuzo Ikoku, the Founder and President.
Vote and Decision Approval
— that The Ikoku Foundations ensure that all such votes and decisions require authorization and final approval by express written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, the Founder and President.
Accordance with Ethics
— that The Ikoku Foundations ensure following any and all of the above principles further remains in accordance with the Codes and Policies and especially the Founding and Governing Code of Ethics.
Accordance with Mission
— that The Ikoku Foundations ensure following any and all of the above principles further remains in accordance with the founding mission and purposes of The Ikoku Foundations, without incompatibility, as described and delineated in the Codes and Policies and the Founder’s Declaration of Trust.

Provision
As stated earlier, The Ikoku Foundations User Agreement and Code of Conduct consist of several Codes and Policies that collectively govern all of your activity with, within, for, in reference to and otherwise pertaining to The Ikoku Foundations. By continuing, you indicate that you understand that the Codes and Policies include — but are not limited to — the Founding and Mission Statement, the Founding and Governing Code of Ethics, the Policy on Privacy and Confidentiality, the Terms and Conditions of Use and Service, and the Acceptable Uses Policy along with all Associated Codes and Policies. Your Knowledge and Agreement
The Ikoku Foundations strongly recommend you develop and maintain your knowledge of all the Codes and Policies, and so ask that you read, understand, and regularly visit this section and other communications regarding the Policy on Members and Voting, as well as the Codes and Policies. The Ikoku Foundations take your continued visiting and use of the Products and Services, as active indication of your knowledge, understanding, and legally binding acceptance of and agreement to this Policy as well as the Codes and Policies.
Your Duty to Organizational Integrity
And you further legally accept and agree that no application, interpretation, judgment, or other compliance, proceeding, or reading from, of, with, or otherwise relating to the Founding Ethics, the Codes and Policies, or any equivalent code, policy, or other document or material shall, in any way, entail any abrogation, diminishment, interference, or violation pertaining to any of the terms, conditions, principles, requirements, rights — including the attendant properties and protections — of corporate and organizational integrity.

Independent, private, non-profit organizations that serve the public interest in Africa and its global diasporas — by advancing education and research and by also supporting creative ideas, civic endeavors and emerging communities, organizations and societies.
Support for a Global and Just Future
A founding mission and ongoing emphases of support for good works that help the public understand Africa’s essential place in a global future, one that is to be more knowledgeable, environmentally sustainable, equitable and of benefit across communities in just societies.
A Vision of the Public Good
A vision of the public good that accounts for the past while ensuring a just and shared future. That draws inspiration from peoples who, despite a history of systemic difficulties, maintain an unyielding belief that the betterment of their human condition will foster the betterment of those living around them and will enhance the present and futures of the regularly disenfranchised, marginalized and underserved.
