Overview

Welcome to the Policy on Corporate Integrity of The Chinyere and Chinelo Ikoku Foundation and The Alvan Azinna Chibuzo Ikoku Foundation. The Ikoku Foundations hold maintaining corporate integrity to be of high and critical importance, and strictly prohibits intentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to the administration, management, operations, properties, rights, and technologies of The Ikoku Foundations as independently and solely determined and controlled by the Founder, Alvan Azinna Chibuzo Ikoku, and Board of Directors.

Therefore, persons engaged in activity within, for, on behalf of, in reference to, and otherwise pertaining to The Ikoku Foundations are expected to take the time to read, understand and uphold the Policy on Corporate Integrity below.

Your Agreement

‚ÄĒ¬†With respect to the Agreement you enter into with The Ikoku Foundations via the Policy on Corporate Integrity, you understand and adhere to the following:

Persons Adhering to Agreement
that¬†the Policy on Corporate Integrity is to be adhered to by a wide range of associated individuals and communities ‚Äē including but not limited to board and committee members, leadership, management, officers, staff, employees, volunteers, representatives, agents, collaborators, partners, and visitors and users ‚Äē as they work in their capacity to establish, further develop, operate, collaborate with, carry out the mission and purposes of, and also visit, use and participate in the offerings of The Ikoku Foundations.
Applicability and Governance of Agreement
that the Policy on Corporate Integrity governs any and all of your access, actions, activity, communication, operation, participation, or other use in, with, for, on behalf of, in reference to, or otherwise pertaining to The Ikoku Foundations, the divisions, series, subsidiaries, and affiliates, and the Products and Services.
Entry and Continuation of Agreement
that whenever you engage in any access, action, activity, communication, operation, participation, or other use in, with, for, on behalf of, in reference to, or otherwise pertaining to The Ikoku Foundations, the divisions, series, subsidiaries, or affiliates, and the Products and Services ‚ÄĒ directly or indirectly as further described below ‚ÄĒ you are agreeing to the Policy on Corporate Integrity as well as the associated Codes and Policies that collectively constitute The Ikoku Foundations User Agreement and Code of Conduct, as they are amended from time to time.
Direct and Indirect Entry and Continuation of Agreement
that whenever you engage in the above described activities directly or indirectly ‚ÄĒ whether engaged in through The Ikoku Foundations, the divisions, series, subsidiaries, or affiliates, and¬†the Products and Services; or through persons and entities working with The Ikoku Foundations, the divisions, series, subsidiaries, or affiliates, and the Products and Services; or working with such engaged activities and resulting media, materials, or otherwise¬†‚ÄĒ you are also agreeing to the Policy on Corporate Integrity as well as the associated Codes and Policies that collectively constitute The Ikoku Foundations User Agreement and Code of Conduct, as they are amended from time to time.
Binding Nature and Validity of Agreement
that you are also thus indicating that you understand the Policy on Corporate Integrity and the Codes and Policies, that you intend them to be the legal equivalent of a signed, written contract, equally binding, and that you accept such Policy on Corporate Integrity and Codes and Policies and agree to be legally bound by them (your ‚ÄúAgreement‚ÄĚ).
Agreement On Behalf of Organization
that if you are engaging in any of the above described activities, communication, or uses for or on behalf of an organization, you are agreeing to this Agreement on behalf of that organization, and represent and warrant that you can do so.
In Case of Non-Agreement or Inability to Honor
that you will not engage in any of the above described activities, communication, or uses if you do not agree to all of the Policy on Corporate Integrity or the Codes and Policies or if your jurisdiction will not honor them.

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Ikoku Foundations, any areas, offices, parts, sections, or assets or properties of The Ikoku Foundations, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, you accept and agree to the terms, conditions, and requirements described above, and in these Codes and Policies, in their entirety without modification.

Your Consent to The Policy

‚ÄĒ¬†With respect to your ability to agree and consent to the Policy on Corporate Integrity, you represent and warrant the following:

Your Power and Authority
that you have the power and authority to enter into the agreement entailed in the Policy on Corporate Integrity, including, where applicable, the power and authority to enter into the agreement on behalf of an organization.
Required Age or Permission and Supervision
that you are at least eighteen (18) years old or if younger at least thirteen (13) years old and engage in activity, communication, operation, participation, visit, or other use in relation to The Ikoku Foundations, the divisions, series, subsidiaries, and affiliates, or the Products and Services with the permission and supervision of an adult parent or guardian.
Reading and Understanding
that you have read and understood the Policy on Corporate Integrity.
Voluntary Nature of Consent
that you understand your consent to be voluntary in nature.
Agreement and Consent
that you consented to and agreed to be legally bound by the Policy on Corporate Integrity.

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Ikoku Foundations, any areas, offices, parts, sections, or assets or properties of The Ikoku Foundations, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, you accept and agree that your consent meets the conditions, principles, and requirements for consent, as delineated and described in a these Codes and Policies ‚ÄĒ for the specific purpose of consenting to this Policy, the Agreement and the Codes and Policies.

Your Abiding by The Policies

‚ÄĒ You represent, warrant, and covenant that, given the above attestation about your consent to the Policy on Corporate Integrity, you have read, understood, consented to, and agreed to be legally bound by and abide by the Policy on Corporate Integrity and the Codes and Policies, as they are amended from time to time, and in their entirety without modification.

Your Understanding of Integrity

‚ÄĒ You represent, warrant, and covenant that, given the above attestation about your consent and adherence to the Policy on Corporate Integrity, you have also read, understood, consented to, and agreed to be legally bound by and abide by understandings of corporate integrity, indemnification, limited liability, and property protections and rights as defined in all applicable law and regulation, by The Ikoku Foundations in the Codes and Polices, and as further delineated below, to be respected and not violated, in any way, by you.

Your Commitment to Understandings

‚ÄĒ You also represent, warrant, and covenant that, given the aforementioned attestation, your¬†commitment to this understanding of integrity shall entail the following:

Basis for Your Actions, Activity and Decisions
its basis for any activity you engage in with respect to The Ikoku Foundations ‚ÄĒ including¬†the divisions, series, subsidiaries, and affiliates, as well as the Products and Services¬†‚ÄĒ and that any such actions and decisions you engage in shall be free of any incompatibility with, inconsistency with, or violation of the Policy on Corporate Integrity or any equivalent or applicable guidelines, laws, policies, provisions, or regulations.
Commitment to Integrity Rights and Protections
that this commitment include but not be limited to upholding everywhere and for every person at The Ikoku Foundations the most humane, protective, respectful, robust and strictest interpretations of integrity, indemnification, limited liability, property, and security rights and protections, including as such rights and protections are provided for in this Policy, in the Codes and Policies, in the Founder’s Agreement, and in applicable guidelines, regulation, and law.
Commitment to Respectful and Protective Practices
that you respectfully assist solely by duties described below in this Policy and in no way interfere with or impede the reasonable and respectful efforts taken by The Ikoku Foundations to translate the above commitments into practices for developing and maintaining protections pertaining to integrity, indemnification, limited liability, property, and security; for determining compliance with those protections; and for fulfilling, respecting, and safeguarding integrity, persons, properties, and interests relating to integrity, integrity conditons, integrity processes, integrity principles, integrity rights, and their protections, including but not limited to those delineated in this Policy and the Codes and Policies.
Commitment to Protections Following and Ahead of the Law
that you also respectfully assist solely by duties described below in this Policy and in no way interfere with or impede the reasonable and respectful efforts taken by The Ikoku Foundations to adopt a coupled approach to legal and substantive protections for integrity, indemnification, limited liability, property, and security, derived, in part, from the provision of rights and protections via advances in law and regulation, but also often beyond what the law provides for and protects.

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Ikoku Foundations, any areas, offices, parts, sections, or assets or properties of The Ikoku Foundations, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, you accept and agree to the terms, conditions, and requirements described above, and in these Codes and Policies, in their entirety without modification.

Your Duty to The Policy

‚ÄĒ¬†With respect to your duty to the Policy on Corporate Integrity, you represent and warrant that you understand and shall adhere to such duty by way of the following:

Refraining from Any Intentional Breach or Violation
avoiding, refraining from, and stopping any access, action, activity, communication, operation, or other use and any collaboration, collusion, coordination, planning, or other preparation you or any person engage in that may encourage, result in, or otherwise foster any intentional breach or violation of the Policy on Corporate Integrity; any intentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to the administration, management, operations, properties, rights, and technologies of The Ikoku Foundations; any intentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to corporation integrity, indemnification, limited liability, property, and security protections and rights of The Ikoku Foundations; and any intentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to the independent and executive control and determination of the above by the sole Founder, Chair, and President, Alvan Azinna Chibuzo Ikoku.
Refraining from Any Unintentional Breach or Violation
avoiding, refraining from, and stopping any access, action, activity, communication, operation, or other use and any collaboration, collusion, coordination, planning, or other preparation you or any person engage in that may encourage, result in, or otherwise foster any unintentional breach or violation of the Policy on Corporate Integrity; any unintentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to the administration, management, operations, properties, rights, and technologies of The Ikoku Foundations; any unintentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to corporation integrity, indemnification, limited liability, property, and security protections and rights of The Ikoku Foundations; and any intentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to the independent and executive control and determination of the above by the sole Founder, Chair, and President, Alvan Azinna Chibuzo Ikoku.
Reporting Any Intentional Breach or Violation
reporting ‚ÄĒ directly and specifically to Alvan Azinna Chibuzo Ikoku, the sole¬†Founder, Chair, and President of The Ikoku Foundations ‚ÄĒ¬†any access, action, activity, communication, operation, or other use and any collaboration, collusion, coordination, planning, or other preparation you or any person engage in¬†that may encourage, result in, or otherwise foster any intentional breach or violation of the Policy on Corporate Integrity; any intentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to the administration, management, operations, properties, rights, and technologies of The Ikoku Foundations; any intentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to corporation integrity, indemnification, limited liability, property, and security protections and rights of The Ikoku Foundations; and any intentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to the independent and executive control and determination of the above by the sole Founder, Chair, and President, Alvan Azinna Chibuzo Ikoku.
Reporting Any Unintentional Breach or Violation
reporting ‚ÄĒ directly and specifically to Alvan Azinna Chibuzo Ikoku, sole Founder, Chair, and President of The Ikoku Foundations ‚ÄĒ¬†any access, action, activity, communication, operation, or other use and any collaboration, collusion, coordination, planning, or other preparation you or any person engage in that may encourage, result in, or otherwise foster any unintentional breach or violation of the Policy on Corporate Integrity; any unintentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to the administration, management, operations, properties, rights, and technologies of The Ikoku Foundations; any unintentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to corporation integrity, indemnification, limited liability, property, and security protections and rights of The Ikoku Foundations; and any intentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to the independent and executive control and determination of the above by the sole Founder, Chair, and President, Alvan Azinna Chibuzo Ikoku.
Determination of Compliance
not diminishing or interfering with, in any way, the ability, opportunity, and sole discretion and rights of The Ikoku Foundations and the sole Founder, Chair, and President, Alvan Azinna Chibuzo Ikoku, to determine compliance with the Policy on Corporate Integrity and to have their decision be final and binding and not subject to challenge or appeal.

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Ikoku Foundations, any areas, offices, parts, sections, or assets or properties of The Ikoku Foundations, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, you accept and agree to the terms, conditions, and requirements described above, and in these Codes and Policies, in their entirety without modification.

Your Accordance with Ethics

‚ÄĒ You represent, warrant, and covenant that, given the above attestation about your consent to this Policy, you ensure that your abiding by and adhering to its conditions, policies, principles, requirements, and rights shall further remain in accordance with the Founding and Governing Code of Ethics.

Your Accordance with Mission

‚ÄĒ You represent, warrant, and covenant that, given the above attestation about your consent to this Policy, you ensure that your abiding by and adhering to its conditions, policies, principles, requirements, and rights shall further remain in accordance with the founding mission and purposes of The Ikoku Foundations, without incompatibility, as described and delineated in the Codes and Policies and the Founder‚Äôs Declaration of Trust.

Further Considerations

Your Knowledge and Agreement

The Ikoku Foundations strongly recommend you develop and maintain your knowledge of all the Codes and Policies, and so asks that you read, understand, and regularly visit this section and other communications regarding the Policy on Corporate Integrity, as well as the Codes and Policies. The Ikoku Foundations take your continued visiting and use of the Products and Services, including the Sites, as active indication of your knowledge, understanding, and legally binding acceptance of and agreement to this Policy as well as the Codes and Policies.

Your Duty to Corporate Integrity

With respect to your attendant duty to corporate and organizational integrity ‚ÄĒ and your legally binding agreement to not diminish, interfere, or violate, in any way, its principles, protections, requirements, or rights ‚ÄĒ¬†you represent and warrant that you understand and shall adhere to the following:

Your Duty to Policy
To protect the corporate and organizational integrity of The Ikoku Foundations¬†‚ÄĒ as well as the properties, rights, and protections of the corporation¬†and its official persons ‚ÄĒ The Ikoku Foundations¬†require all natural and legal persons concerned to read, understand, abide by and, where applicable, sign contracts and agreements delineated and described in the Policy on Corporate¬†Integrity.
Your Acceptance of Policy
The Ikoku Foundations remind you that the Policy on Corporate Integrity forms part of The Ikoku Foundations User Agreement and Code of Conduct. Thus, The Ikoku Foundations take your continued access, activity, communication, engagement, operation, participation, and other use or visiting as active indication of your legally binding acceptance of this Policy as well as the Codes and Policies.
Your Acceptance of Administration
Furthermore, you represent, warrant, and covenant that, given the above, your continuation in using or visiting, in any way, The Ikoku Foundations, any areas, offices, parts, sections, or assets or properties of The Ikoku Foundations, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, is an active indication of your legally binding acceptance of the executive administration, control, and management of The Ikoku Foundations by the Founder, Alvan Azinna Chibuzo Ikoku, as further described in the Policy on Corporate Integrity.

And you further legally accept and agree that no application, interpretation, judgment, or other compliance, proceeding, or reading from, of, with, or otherwise relating to the Founding Ethics, the Codes and Policies, or any equivalent code, policy, or other document or material shall, in any way, entail any abrogation, diminishment, interference, or violation pertaining to any of the terms, conditions, principles, requirements, rights ‚ÄĒ including the attendant properties and protections ‚ÄĒ of corporate¬†and organizational integrity.

Along with the above key principles, the Policy on Corporate Integrity requires your adherence to a number of requirements, as delineated below.

Conditions for Integrity

‚ÄĒ that The Ikoku Foundations¬†require and ensure that each and every natural and legal person engaging in activity with or relating to the corporation ‚ÄĒ including but not limited to each trustee, director, employee, partner, worker, contractor, volunteer, client, customer, user, visitor and equivalent agent or third party ‚ÄĒ is committed to and legally agrees to fostering and not diminishing, interfering with, or violating, in any way, any conditions, activities, operations, or planning for the following:

Corporate and Organizational Integrity
for maintaining the corporate and organizational integrity of The Ikoku Foundations, including the divisions, series, subsidiaries, and affiliates, as well as the Products and Services; with the above including but not limited to the development and operation of The Ikoku Foundations, including the divisions, series, subsidiaries, and affiliates, as well as the Products and Services, as two distinct and unique corporate entities under the sole control of the Founder and President, Alvan Azinna Chibuzo Ikoku, and the Board of Directors, with no copies, doubles, echoes, hidden parts or ports, shadows or any other alternative versions of such that are not authorized, approved and actively overseen by the above Founder and President.
Integrity as Protection of Properties and Rights
for administrating, managing, protecting and securing the properties and rights of The Ikoku Foundations, including the divisions, series, subsidiaries, and affiliates, as well as the Products and Services, especially but not limited to those rights pertaining to confidentiality, privacy, security, trade secrets and real and intellectual property, including such properties and rights pertaining to interests, memberships, shares, stocks and any other forms of decision-making, ownership or stake-holding.
Integrity as Independence, Freedoms and Liberties
for according to The Ikoku Foundations and to their sole Founder and President, Alvan Azinna Chibuzo Ikoku, the most humane, protective, respectful, robust and strictest interpretations of independence, freedoms and liberties principles, protections, and rights, and for ensuring their full enjoyment and fulfilment, including in the Founder’s independent administration, governance, and oversight of The Ikoku Foundations, as such principles, protections, rights as well as attendant policies are defined, delineated and provided for in the Codes and Policies.
Integrity as Privacy and Confidentiality
for according to The Ikoku Foundations and to their sole Founder and President, Alvan Azinna Chibuzo Ikoku, the most humane, protective, respectful, robust and strictest interpretations of privacy and confidentiality principles, protections, and rights, and for ensuring their full enjoyment and fulfilment, including in the Founder’s private and confidential administration, governance, and oversight of The Ikoku Foundations, as such principles, protections, rights as well as attendant policies are defined, delineated and provided for in the Codes and Policies.
Integrity as Independent Administration and Management
for instituting, developing, maintaining and protecting the sole, complete, independent and executive control of the administration, management, and operations of The Ikoku Foundations, including the divisions, series, subsidiaries, and affiliates, as well as the Products and Services, specifically by the Founder and President, Alvan Azinna Chibuzo Ikoku, or by persons approved by the Founder via express written instrument signed and sealed.
Integrity as Independent Governance and Oversight
for instituting, developing, maintaining and protecting the sole, complete, independent and executive governance and oversight of The Ikoku Foundations, including the divisions, series, subsidiaries, and affiliates, as well as the Products and Services, specifically by the Founder and President, Alvan Azinna Chibuzo Ikoku, and the Board of Trustees or by persons approved by the Founder via express written instrument signed and sealed; which includes but is not limited to the development, implementation, compliance determination and revision of the Codes and Policies as well as any formation, operating, financial, governing and otherwise administrating or managing agreements, articles, bylaws, certificates, contracts and other documents.
Integrity as Private and Confidential Administration and Management
for instituting, developing, maintaining and protecting the private and confidential control of the administration, management, and operations of The Ikoku Foundations, including the divisions, series, subsidiaries, and affiliates, as well as the Products and Services, specifically by the Founder and President, Alvan Azinna Chibuzo Ikoku, or by persons approved by the Founder via express written instrument signed and sealed.
Integrity as Private and Confidential Governance and Oversight
for instituting, developing, maintaining and protecting the private and confidential governance and oversight of The Ikoku Foundations, including the divisions, series, subsidiaries, and affiliates, as well as the Products and Services, specifically by the Founder and President, Alvan Azinna Chibuzo Ikoku, or by persons approved by the Founder via express written instrument signed and sealed; which includes but is not limited to the private and confidential development, implementation, compliance determination and revision of the Codes and Policies as well as any formation, operating, financial, governing and otherwise administrating or managing agreements, articles, bylaws, certificates, contracts and other documents.
Integrity as Sole Communication, Notification and Processing
for instituting, developing, maintaining and protecting measures to ensure the sole officially approved and independently, privately and confidentially administered communication and notification from The Ikoku Foundations, including the divisions, series, subsidiaries, and affiliates, as well as the Products and Services, specifically by the Founder and President, Alvan Azinna Chibuzo Ikoku, or by persons approved by the Founder via express written instrument signed and sealed; which includes but is not limited to such communication and notification pertaining to legal and other proceedings, procedures, processing of data and information and other activities described and delineated in the Policy of Data and Information and Policy on Human Subjects Research and Investigation.
Integrity as Separation and Protection from Personal and Public
for clearly, consistently and strictly separating and protecting the activities, assets and other properties, offices and equivalent work areas relating to the administration, control, governance, management, operations and equivalent responsibilities of The Ikoku Foundations, including the divisions, series, subsidiaries, and affiliates, as well as the Products and Services, and of The Ikoku Foundations Administration, as defined in these Codes and Polices, from that which is demarcated, operated or otherwise understood as public and personal.
Integrity as Responsibilities to and Rights of Official Persons
for fulfilling requirements and responsibilities and for protecting and remedying against any intentional or unintentional breach, diminishment, disruption, impediment, interference, or other violation pertaining the properties, rights, and protections of the official persons of The Ikoku Foundations, especially the Founder and President, Alvan Azinna Chibuzo Ikoku, and any other managerial or executive staff or appropriately approved members or partners.
Integrity as Indemnification and Limited Liability
for instituting, maintaining and securing measures and protections pertaining to the indemnification and limited liability of The Ikoku Foundations, including the divisions, series, subsidiaries, and affiliates, as well as the Products and Services, and of the Founder and President, Alvan Azinna Chibuzo Ikoku, and any other managerial or executive staff or appropriately approved members or partners.
As Determined by the Founder of Foundations
‚ÄĒ all of the above as the Founder and President of The Ikoku Foundations, Alvan Azinna Chibuzo Ikoku, independently determines appropriate from time to time and solely controls.

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Ikoku Foundations, any areas, offices, parts, sections, or assets or properties of The Ikoku Foundations, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, you accept and agree to the terms, conditions, and requirements described above, and in these Codes and Policies, in their entirety without modification.

Sole Authorization and Approval

‚ÄĒ that the above conditions furthermore entail a legally binding acceptance by said persons of the executive authority of the Founder and President, Alvan Azinna Chibuzo Ikoku, to approve and authorize offices and equivalent work areas, codes and policies, agreements, contracts and other legal instruments, and activities, assets and properties relating to the administration, compliance, control, development, governance, management, operations, oversight and other executive responsibilities of The Ikoku Foundations, including the divisions, series, subsidiaries, and affiliates, as well as the Products and Services; with the above including but not limited to employment and volunteerships, third-party servicing, franchising, fundraising, licensing, affiliations, partnerships, endorsements and sponsorships.

Sole Determination of Compliance, Remedy and Priority

Sole Determination of Compliance and Remedy

Sole Determination of Priority
that The Ikoku Foundations and the Founder and President reserve the right to, at their sole discretion, determine adequate means by which they shall hold the Policy on Corporate Integrity and its compliance and remedying of non-compliance to be of high and urgent priority in relation to other Codes and Policies and to their principles, rights, and responsibilities.
Sole Determination and Restriction of Other Persons’ Fostering
and that The Ikoku Foundations and the Founder and President reserve the right to, at their sole discretion, determine approved ways in which person may foster corporate integrity, restricted to noninterference, reporting of noncompliance to the above Founder and President, and upon this Founder’s request provision of evidentiary proof in appropriately approved legal, investigative and remedying proceedings.

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Ikoku Foundations, any areas, offices, parts, sections, or assets or properties of The Ikoku Foundations, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, you accept and agree to the terms, conditions, and requirements described above, and in these Codes and Policies, in their entirety without modification.

No Further Conferral From Rights

‚ÄĒ that the above conditions also entail a legally binding acceptance by said persons that the exercising, respect or support of any freedoms, liberties or rights shall not confer any right of access to, acquisition of or share of interests, shares, stocks, votes or other form of ownership or control in or of:

any areas, offices, parts, sections, or assets or properties of The Chinyere and Chinelo Ikoku Foundation or The Alvan Azinna Chibuzo Ikoku Foundation, also officially doing business as The Ikoku Foundations and The Ikoku Foundation.
Assets and Properties
any areas, parts, portions or sections of the assets and properties of The Ikoku Foundations, and the Products and Services.
Series and Subsidiaries
any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates of The Ikoku Foundations, and the Products and Services.
Administration and Operations
any areas, offices, parts, sections, or assets or properties of the administrative, development, managerial, operations, governance or other work offices, spaces or properties of The Ikoku Foundations, of the divisions, series, subsidiaries, and affiliates, and of the Products and Services.
To Any Person Other than Founder and Board

the Products and Services of The Ikoku Foundations.

Protection of Administration

‚ÄĒ that The¬†Ikoku Foundations Administration be considered organizationally confidential and private; be protected as such in order to enjoy rights to confidentiality, privacy, protection, safety, security and property; and so not¬†be considered or operated as public or open to the public.

Separation from Personal Devices

‚ÄĒ that there be no points of access ‚ÄĒ and especially no processing of data or information¬†‚ÄĒ between The Ikoku Foundations Administration and personal computers, devices, equipment, servers, storage and equivalent technologies.

Separation from Personal Spaces

‚ÄĒ that there be no points of access ‚ÄĒ and especially no processing of data or information¬†‚ÄĒ between The Ikoku Foundations Administration and personal homes or equivalent spaces.

Sensitivity and Non-Extension

‚ÄĒ that the above determination, distinction and protection render any processing of data and information within The Ikoku Foundations¬†and their Administration¬†‚ÄĒ and any data and information thus accessed ‚ÄĒ subject to the Principles of Sensitivity under the Policy on Data and Information.

‚ÄĒ that the above preclude permitting any natural or legal person to consent to or conduct official work of The Ikoku Foundations¬†Administration¬†on¬†devices described, demarcated or otherwise understood as public and personal.

‚ÄĒ that any official work of The Ikoku Foundations¬†Administration must be conducted either at The Ikoku Foundations¬†Administration or on The Ikoku Foundations¬†Administration devices, and whenever such work is conducted in personal or public spaces such spaces shall not be considered or operated as extensions of The Ikoku Foundations¬†or The Ikoku Foundations¬†Administration.

‚ÄĒ and¬†that no personal or public computers, devices, equipment, servers, storage and equivalent technologies, personal or public homes, personal or public offices, and personal or public spaces be considered extensions of¬†The Ikoku Foundations Administration.

C ‚ÄĒ Persons and Contracts

Work Contracts and Agreements

‚ÄĒ that The Ikoku Foundations¬†require and ensure that each and every employee, partner, worker, contractor, freelancer, volunteer and equivalent agent or third party have and sign a written contract, that such contract clearly convey the specific nature, role, duties and responsibilities as well as terms and conditions of employment or arrangement, relationship and work¬†in a language understood by each signatory, and that the described arrangement, relationship and work commence only after said contract is signed and consented to by each said signatory.

Other Contracts and Agreements

‚ÄĒ that The Ikoku Foundations¬†require and ensure that each and every paid and unpaid person, agent or third party providing continuous or occasional services to The Ikoku Foundations¬†‚ÄĒ including but not limited to cases of care, consulting, education, research, technical services, training, writing, or other equivalent work or services arrangement ‚ÄĒ also¬†have and sign a written contract and that such contract clearly convey the specific nature, role, duties and responsibilities as well as terms and conditions of the arrangement, relationship and services in a language understood by each signatory, and that the arrangement, relationship and services commence only after said contract is signed and consented to by each said signatory.

Sole Approval of All Contracts

‚ÄĒ that The Ikoku Foundations¬†require and ensure that any and all above contracts and equivalent legal instruments be authorized, reviewed and approved solely by express written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, the sole Founder and President.

D ‚ÄĒ Notarized Agreements

Confidentiality and Privacy Agreement

‚ÄĒ to¬†further protect the corporate and organizational integrity¬†of The Ikoku Foundations¬†‚ÄĒ as well as the properties, rights and enumerated protections of the corporations and their official persons¬†‚ÄĒ The Ikoku Foundations¬†shall require and ensure that each and every person under the above-described contract or equivalent legal instrument also¬†sign a written and notarized confidentiality and privacy agreement (the ‚ÄúConfidentiality and Privacy Agreement‚ÄĚ) meeting all of the following specifications:

Attestation to Governing Codes and Policies
that the Confidentiality and Privacy Agreement shall require the signatory to attest to having read, understood and agreed to abide by the Codes and Policies, Founding Codes of Ethics and other associated governance codes of The Ikoku Foundations.
Attestation to Policy on Privacy and Confidentiality
that the Confidentiality and Privacy Agreement shall require the signatory to attest to having read, understood and agreed to abide by the Policy on Privacy and Confidentiality and all other confidentiality and privacy protections described in the Codes and Policies, the Note on Incompatibility with the Founding of The Ikoku Foundations, the Founding Codes of Ethics and other associated governance codes of The Ikoku Foundations.
Prohibitions of Breaching and Violating Activity
that¬†The Confidentiality and Privacy Agreement shall prohibit all paid and unpaid signatories from engaging in or assisting any action, activity or operation in intentional violation of our policies and protections for confidentiality and privacy¬†‚ÄĒ even while being an ‚Äúactivist,‚ÄĚ ‚Äúprotester,‚ÄĚ ‚Äúvigilante‚Ä̬†or equivalent agent ‚ÄĒ and The Confidentiality and Privacy Agreement shall specifically prohibit all paid and unpaid signatories from being a ‚Äúhacker,‚ÄĚ ‚Äúransomer,‚ÄĚ ‚Äúspy‚ÄĚ or equivalent agent and engaging in associated activities or operations ‚ÄĒ and from facilitating any ‚Äúhacker,‚ÄĚ ‚Äúransomer,‚ÄĚ ‚Äúspy‚ÄĚ or equivalent agent and their associated activities or operations ‚ÄĒ and from being or facilitating an agent, employee or member of O’Keefe, Project Veritas or any other such organization or organization, or from becoming a ‚Äúhacker,‚ÄĚ ‚Äúransomer,‚ÄĚ ‚Äúspy‚ÄĚ or equivalent agent for such an organization in the future.
Damages and Liabilities
that¬†The Confidentiality and Privacy Agreement shall specify that damages of not less than $10 Million will be assessed against any person who is determined to be or facilitate such an ‚Äúactivist,‚ÄĚ ‚Äúprotester,‚ÄĚ ‚Äúvigilante,‚Ä̬†‚Äúhacker,‚ÄĚ ‚Äúransomer,‚ÄĚ ‚Äúspy‚ÄĚ or equivalent agent now or in the future ‚ÄĒ or being or facilitating an agent of such companies or organizations described above, now or in the future ‚ÄĒ and that the damages will be assessed against the above-described¬†‚Äúactivist,‚ÄĚ ‚Äúprotester,‚ÄĚ ‚Äúvigilante,‚ÄĚ ‚Äúhacker,‚ÄĚ ‚Äúransomer,‚ÄĚ ‚Äúspy‚ÄĚ or equivalent agent or their immediate family, as well as their heirs and assigns, and that the signatory acknowledges this liability.
Clarity and Signature Before Notary and Witness
that The Confidentiality and Privacy Agreement shall be written and in plain language and it shall be mandatory for all required signatories to sign it in front of a notary and witnesses before the engagement, continuation or performance of any agreement or contract.
Actions upon Refusal or Demurment
that upon refusal to sign, any other agreement, contract or equivalent legal instrument shall be terminated. A forensics investigation shall be conducted with respect to possible breaches or violations of governance codes and policies, as well as confidentiality, privacy and security protections. Any desk, possessions and office areas associated or in communication with The Ikoku Foundations shall be searched by privacy, security and technology staff for malware, spyware, wiretaps and their equivalent, as well as for stolen documents, property and their equivalent.
Actions upon Discovery of Violation
and that if the above breaches, violations, evidence of such or their equivalent are found, the police should be called and the person should be arrested for trespassing, presenting a false identity, the placing of illegal malware, spyware and wiretap equipment, violation of confidentiality and privacy, and theft of private property and documents by burglary.

As with all contracts and equivalent legal instruments, The Ikoku Foundations shall require and ensure that each Confidentiality and Privacy Agreement be authorized and approved by express written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, the sole Founder and President.

Corporate Integrity Agreement

‚ÄĒ to¬†further protect the corporate and organizational integrity¬†of The Ikoku Foundations¬†‚ÄĒ as well as the properties, rights and enumerated protections of the corporations and their official persons¬†‚ÄĒ The Ikoku Foundations¬†shall require and ensure that each and every person under the above-described contract or equivalent legal instrument also¬†sign¬†a written and notarized organization integrity agreement (the ‚ÄúCorporate Integrity Agreement‚ÄĚ) meeting all of the following specifications:

Attestation to Governing Codes and Policies
that the Corporate Integrity Agreement shall require the signatory to attest to having read, understood and agreed to abide by the Codes and Policies, Founding Codes of Ethics and other associated governance codes of The Ikoku Foundations.
Attestation to Policy on Corporate Integrity
that the Corporate Integrity Agreement shall require the signatory to attest to having read, understood and agreed to abide by the Policy on Corporate Integrity and all other protections and rights of The Ikoku Foundations to corporate integrity, properties and rights described in the Codes and Policies, Founding Codes of Ethics and other associated governance codes of The Ikoku Foundations.

As stated earlier, The Ikoku Foundations are dedicated to fostering philanthropy and good works concerning Africa, its global diasporas and a range of shared societies ‚ÄĒ toward the betterment of lives across the globe. And so in accordance with the above, The Foundations provide the following:

Independent, private, non-profit organizations that serve the public interest in Africa and its global diasporas ‚ÄĒ by advancing education and research and by also supporting creative ideas, civic endeavors and emerging communities, organizations and societies.

A founding mission and ongoing emphases of support for good works that help the public understand Africa’s essential place in a global future, one that is to be more knowledgeable, environmentally sustainable, equitable and of benefit across communities in just societies.

A vision of the public good that accounts for the past while ensuring a just and shared future. That draws inspiration from peoples who, despite a history of systemic difficulties, maintain an unyielding belief that the betterment of their human condition will foster the betterment of those living around them and will enhance the present and futures of the regularly disenfranchised, marginalized and underserved.
